1. Acceptance of These Terms
These Terms of Service (the “Terms”) govern your access to and use of the Resonant Grove Music Lessons website and related services (collectively, the “Site” and “Services”). By visiting the Site, contacting us, or submitting information through our forms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not use the Site or submit information through the Site.
Minimum age: the Site is intended for users who are at least 16 years old. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian, including for scheduling and communications. A parent or guardian is responsible for supervising any minor’s use of the Services.
2. Important Education Disclaimer
Resonant Grove Music Lessons provides music education services, including private lesson instruction and coaching related to instruments, practice routines, repertoire development, ear training, rhythm training, and songwriting feedback. The Services are educational and skill-based in nature.
- We do not guarantee specific results, performance outcomes, career outcomes, auditions, placements, recording deals, or any other professional or financial outcome.
- Progress depends on many factors, including practice consistency, prior experience, instrument condition, scheduling, and individual learning pace.
- Any examples of common outcomes are illustrative and should not be interpreted as a promise or guarantee.
If the Services involve input from an instructor, coach, or invited specialist, that input is provided for educational purposes and does not create a professional fiduciary relationship beyond the agreed scope of lessons or coaching.
3. Description of the Services
Resonant Grove Music Lessons offers instructor-led music lessons and related coaching. Lessons may be provided in-studio at our Nashville location, online, or in a hybrid format depending on availability and what is agreed during scheduling. Lesson content may include technique development, repertoire work, practice planning, metronome-based pacing, ear training, harmonic analysis, and performance preparation.
The Site is primarily an informational and contact channel. Submitting a form request does not create a binding commitment to provide lessons, does not guarantee a specific time slot, and does not guarantee instructor assignment. Scheduling is confirmed only after direct communication and agreement on availability.
We may update, modify, suspend, or discontinue any part of the Site or Services at any time. We are not obligated to maintain any specific feature, page, or content.
4. Acceptable Use
You agree to use the Site in a lawful manner and not to misuse the Site or interfere with normal operation. Prohibited behavior includes:
- Attempting to gain unauthorized access to the Site, servers, or systems, or attempting to bypass security measures.
- Submitting false, misleading, or impersonating information through any form, including pretending to be another person or organization.
- Using automated scripts, scraping, crawling, or data extraction tools to collect information from the Site without our prior written permission.
- Introducing malware, viruses, trojans, or any other code intended to damage, disrupt, or monitor the Site or its users.
- Sending spam, bulk messages, or promotional solicitations through our contact channels.
- Using the Site in a way that violates applicable sanctions or export restrictions, or that would cause us to violate applicable laws.
We may suspend or block access to the Site for suspected violations, abuse, or security reasons, without notice where appropriate.
5. Intellectual Property
The Site, including text, graphics, branding, layout, design, and code, is owned by Resonant Grove Music Lessons LLC or its licensors and is protected by United States and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes related to learning about our lessons and contacting us. You may not copy, reproduce, distribute, publish, modify, create derivative works from, or publicly display any portion of the Site without our prior written permission, except as permitted by law.
Any trademarks, logos, and service marks displayed on the Site are the property of their respective owners. Use of those marks without permission is prohibited.
6. User Submissions and Communications
If you submit information to us (for example, through a contact form), you represent that the information is accurate to the best of your knowledge and that you have the right to share it. You also agree not to submit content that is unlawful, defamatory, infringing, or that contains malware.
You understand that internet communications can be subject to interruption or delay. While we take reasonable steps to maintain the Site, we do not guarantee that the Site or email communications will be uninterrupted, timely, or error-free.
7. Third-Party Services and Links
The Site may reference third-party services that support delivery of the website (such as content delivery networks) or provide embedded functionality. Any third-party services are subject to their own terms and privacy practices. We are not responsible for third-party websites, services, or content that we do not control.
8. Disclaimer of Warranties
The Site and Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Resonant Grove Music Lessons LLC disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be accurate, complete, reliable, secure, or available at any particular time, or that any defects will be corrected. Any reliance you place on the Site is at your own risk.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Resonant Grove Music Lessons LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Site or Services.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or Services will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow certain limitations of liability. If those laws apply to you, some of the limitations above may not apply.
10. Indemnification
You agree to defend, indemnify, and hold harmless Resonant Grove Music Lessons LLC, and its members, managers, contractors, and representatives, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your submission of content or information that infringes a third party’s rights or violates applicable law.
11. Force Majeure
We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, natural disasters, power failures, internet or telecommunications outages, labor disputes, civil disturbances, war, epidemics or pandemics, governmental actions, or failures of third-party hosting or cloud providers.
12. International Use
Resonant Grove Music Lessons LLC operates from the United States. We do not represent that the Site or Services are appropriate or available in all locations. If you access the Site from outside the United States, you do so on your own initiative and you are responsible for compliance with local laws where applicable.
13. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Tennessee and applicable federal laws of the United States, without regard to conflict of laws principles.
To the extent any dispute is not subject to arbitration (as described below), you agree that any legal action arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to personal jurisdiction in those courts.
14. Dispute Resolution and Arbitration (United States)
Before initiating a formal dispute, you agree to contact us and allow thirty (30) days for informal resolution. Many issues can be resolved quickly through email.
If we cannot resolve a dispute informally, you and Resonant Grove Music Lessons LLC agree to resolve any claim arising out of or relating to these Terms, the Site, or the Services through binding individual arbitration, rather than in court, except that either party may bring a claim in small claims court if it qualifies.
- Arbitration will be conducted on an individual basis. Class actions, class arbitrations, and representative actions are not permitted.
- The arbitrator may award the same damages and relief as a court, subject to these Terms and applicable law.
- This arbitration agreement is governed by the Federal Arbitration Act.
If applicable law does not allow mandatory arbitration for a particular claim, then that claim will be resolved in the courts identified in Section 13.
15. Termination
We may suspend or terminate your access to the Site at any time if we believe you have violated these Terms or if your use poses a security risk. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
16. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and will not affect the validity and enforceability of the remaining provisions.
17. Entire Agreement
These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Resonant Grove Music Lessons LLC regarding the Site and Services, and supersede any prior or contemporaneous understandings.
18. Assignment
We may assign or transfer these Terms, in whole or in part, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
19. No Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Resonant Grove Music Lessons LLC.
20. Modifications to These Terms
We may update these Terms from time to time. Changes will become effective fourteen (14) days after they are posted on this page, unless a change is required by law or relates to new features, in which case it may be effective immediately. The “Last Updated” date at the top of this page indicates when the Terms were most recently revised.
21. Electronic Communications
By using the Site and communicating with us electronically, you consent to receive communications from us electronically, such as by email. You agree that electronic communications satisfy any legal requirement that such communications be in writing, including under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN).
